Wall Street is overthinking the Tesla and SpaceX merger. I think it happens, and I think the setup is one of the cleaner opportunities out there right now. On July 8, JPMorgan called a Tesla ($TSLA) and SpaceX ($SPCX) combination “strategically coherent on paper.” Coherent on paper is analyst-speak for hedging. Let me be direct: this is not a maybe. Elon Musk has told us for years he wants one company, not two, and he has run this exact playbook before. Remember 2016? Musk folded SolarCity into Tesla. Same criticism then: governance conflict, related-party deal, shareholders will revolt. It closed anyway. Musk consolidates his empires when the logic is there, and the logic here is overwhelming. Look at what already exists. Tesla and SpaceX share engineering talent, the Terafab chip facility in Texas, Megapacks, and AI infrastructure. xAI already sits inside SpaceX. These are not two companies that might integrate someday. They are one operating system wearing two corporate names. A merger just makes the org chart match reality. Now the piece Wall Street keeps missing. SpaceX’s record $75B IPO changed the math overnight. SpaceX trades near a $1.99T market cap, bigger than Tesla’s $1.53T. That makes SpaceX the acquirer, using its own richly valued stock as currency. Combined, you get a roughly $3.5T company sitting in Nvidia and Apple territory, spanning EVs, robotics, energy, autonomy, satellites, launch, and frontier AI. There is nothing else like it on the planet. Yes, Tesla’s near-term numbers are ugly. Net income fell 46% to $3.9B, revenue slipped 2.9%, and it trades at a 224x P/E. But you are not buying the car business. You are buying FSD, Optimus, energy, and now a merger call option that the market is pricing at barely a coin flip. RBC already built a 25 to 30% SpaceX premium into a $500 target, on a standalone value near $435. The pushback is China and governance. Real risks, not deal killers. Musk controls about 85% of SpaceX and about 20% of Tesla, and regulators will poke at the Shanghai footprint next to SpaceX defense contracts. But every Musk consolidation has faced a wall of “it cannot be done,” and the wall has lost every time. Here is the trade. The gap between Tesla’s standalone value near $435 and merger-adjusted targets above $500 is the spread. If you believe Musk finishes what he starts, and history says he does, you are getting paid to wait for something he has already told you he wants. Wall Street sees complexity. I see a founder who consolidates, a balance sheet that finally makes it possible, and a market that has not caught up. That is usually where the money is.
